Terms & Conditions

1.1. The Agreement: These Terms and Conditions, together with any quote, written proposal, or other agreement signed by both parties (collectively, the "Agreement"), constitute a legally binding agreement between you, the Client ("Client," "You," "Your"), and Molfar Visuals ("Molfar Visuals," "We," "Us," "Our").
1.2. Scope: These terms govern the use of our website (molfarvisuals.com) and the engagement of Molfar Visuals for any videography, commercial, interview, or corporate video production services ("Services").
1.3. Acceptance: By booking, engaging, or instructing Molfar Visuals to perform the Services, or by accessing our website, you agree to be bound by these Terms and Conditions.

2.1. Quotations: All quotations are valid for a period of 30 days from the date of issue. The quotation details the agreed-upon scope of work, deliverables, and fees.
2.2. Booking Confirmation: A project is considered confirmed and booked only upon receipt by Molfar Visuals of a signed acceptance of the quotation and payment of the required 50% non-refundable deposit/retainer fee.
2.3. Project Scope Changes: Any changes to the project scope, deliverables, dates, or timings requested by the Client after confirmation may result in additional charges and a revised timeline. These changes must be agreed upon in writing by both parties.

3.1. Fees: The total fees payable are set out in the agreed-upon quotation.
3.2. Payment Schedule: Payment shall be made as follows:
- 50% non-refundable deposit upon booking.
- The remaining 50% balance upon final delivery or within 7 days of invoicing, whichever is sooner.
3.3. Late Payment: Molfar Visuals reserves the right to charge statutory interest and compensation for debt recovery costs under the Late Payment of Commercial Debts (Interest) Act 1998, as amended.
3.4. Project Hold: Work will not commence on a project until the deposit is paid, and final deliverables will not be released until all outstanding invoices are paid in full.

4.1. Cancellation by Client: In the event the Client cancels or postpones a confirmed project, the following cancellation fees will apply:
- Cancellation 14 days or more prior to the scheduled shoot date: Loss of the initial deposit only.
- Cancellation 7-13 days prior to the scheduled shoot date: 75% of the total project fee is payable.
- Cancellation 6 days or less prior to the scheduled shoot date: 100% of the total project fee is payable.
4.2. Adverse Weather: If filming is cancelled or delayed due to adverse weather, Molfar Visuals will attempt to reschedule. The Client will be liable for any non-recoverable costs incurred by Molfar Visuals (non-refundable travel/accommodation).

5.1. Access and Permission: The Client is responsible for obtaining all necessary permissions, licenses, releases, and access rights for all locations, persons, objects, and material required for the filming (venue permits, model releases).
5.2. Safety and Health: The Client must ensure the filming location is safe and compliant with all relevant Health & Safety regulations. Molfar Visuals reserves the right to cease filming if staff/equipment are placed in unsafe conditions.
5.3. Third-Party Content: If the Client provides any materials (music, logos, archival footage) for inclusion in the video, the Client warrants that they own the intellectual property rights or have obtained the necessary licenses for their use. The Client shall indemnify Molfar Visuals against any claim arising from the use of such material.

6.1. Copyright Ownership: Unless otherwise explicitly agreed in a separate written contract, the Copyright of all footage, original sound recordings, visual elements, and the final edited video remains the property of Molfar Visuals.
6.2. Grant of Licence: Upon full and final payment of all invoices, Molfar Visuals grants the Client a non-exclusive, non-transferable licence to use the final video deliverable for the purpose(s) specified in the original quotation (online marketing, internal use).
6.3. Raw Footage: Raw, unedited footage remains the property of Molfar Visuals and will not be released to the Client unless specifically agreed upon in writing and subject to an additional fee.
6.4. Promotional Use: Molfar Visuals retains the right to use extracts from the final video and footage for the purpose of promoting its own work (on molfarvisuals.com, social media, and showreels).

7.1. Loss or Damage: Whilst every reasonable care is taken, Molfar Visuals is not liable for any loss or damage to Client-supplied property while in our possession.
7.2. Force Majeure: Molfar Visuals shall not be liable for any failure to perform the Services where such failure is due to acts beyond its reasonable control, including but not limited to severe weather, natural disasters, equipment failure, or sudden illness. Our liability in such cases is limited to a full refund of any unspent fees/deposits.
7.3. General Limitation: Molfar Visuals' liability to the Client for any claim, loss, or expense arising out of this Agreement or the Services shall be limited to the total value of the fees paid by the Client to Molfar Visuals for the specific project in question. We will not be liable for any indirect or consequential loss.

8.1. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
8.2. Jurisdiction: Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the Courts of England and Wales.
